TDL

Terms of Use

Effective October 17, 2026

Please read section 17. It says disputes are decided by an arbitrator one person at a time, not by a jury or in a class action, unless you opt out within 30 days.

1. Agreement

These Terms of Use ("Terms") are an agreement between you and Toni D'Loni LLC ("TDL," "we," "us"). They cover the TDL app, its widgets, TDL Plus, and TDL's AI features (together, the "App"). You must agree to these Terms and to our Privacy Policy before using the App. If you don't agree, please don't use it.

2. What TDL is

TDL is a to-do list and day planner. You can make your own lists for anything (groceries, gym, school, work, a trip), nest lists inside each other, and put tasks on a daily schedule with reminders.

TDL Plus adds planning around your day in the real world: travel times by car, transit or walking, including expected traffic, with alerts telling you when to leave for tasks you mark "Go there." It also adds Fuzzy, an AI assistant that turns a sentence into a plan, Organize with AI, and insights about your days.

3. Who can use TDL

You must be at least 18 years old and able to enter a binding contract. By using the App, you confirm that you are. You also confirm that you aren't located in a country subject to a U.S. government embargo or listed as a terrorist-supporting country, and that you aren't on any U.S. government list of prohibited or restricted parties.

4. Your license to use the App

We give you a personal, non-exclusive, non-transferable, revocable license to use the App on Apple-branded devices that you own or control, as allowed by Apple's Usage Rules (including Family Sharing where it applies). You may not copy, modify, reverse engineer, resell or distribute the App, or try to get around its security, usage limits, age check or paid features.

5. Your data and backups

You can use TDL without an account ("guest") or with Sign in with Apple. As a guest, your plans are stored only on your iPhone (with a copy of the next two days on your Apple Watch, if you use one). If your device is lost, reset or replaced, or the App is deleted, a guest's plans may be lost permanently, and we can't recover them. If you sign in with Apple, your plans are also kept in your own iCloud and sync to your other devices. That depends on Apple's iCloud and your iCloud storage; we don't run it and can't guarantee it, so keep anything that matters to you somewhere else too.

6. TDL Plus subscriptions

7. AI features

Fuzzy and Organize with AI use artificial intelligence from a third party (currently Google's Gemini). By turning on AI features, you agree that we may send the information described in our Privacy Policy to our AI provider to produce a response for you.

8. TDL is not an emergency or crisis service

If you or someone else may be in danger, call 911. If you're thinking about suicide or self-harm, call or text 988 (the Suicide & Crisis Lifeline in the U.S.). TDL may show these numbers if a message suggests someone might be in crisis, but TDL doesn't monitor messages, contact anyone for you, or provide counseling.

9. Reminders, travel times and location features

Reminders, leave-by alerts, travel times and arrival notices are helpful estimates, not guarantees. They depend on your device settings and permissions (notifications, location, Focus modes, Low Power Mode), on Apple Maps data, traffic and transit schedules, your connection, and on the App having been opened recently. Travel times can't account for everything, such as accidents, parking, weather, delays or detours.

Alerts can arrive late, early or not at all. Don't rely on TDL alone for anything where missing a time could cause harm or loss, such as medication, medical appointments, flights, court dates, or legal and school deadlines. Never use the App while driving, and always follow traffic laws.

10. Things you agree not to do

11. Ownership and feedback

The App, including its design, characters (like Fuzzy), text, graphics and code, belongs to us and our licensors and is protected by law. These Terms don't give you any rights to it other than the license in section 4. If you send us ideas or feedback, we may use them without owing you anything.

12. Your responsibility to us

If you break these Terms or the law in using the App, or infringe someone else's rights through it, and that leads to a claim against us, you agree to cover the reasonable costs of it (including legal fees), to the extent the law allows. This doesn't apply to claims caused by our own wrongdoing.

13. Third-party services

The App relies on services from Apple, Google and Cloudflare, and may link to other websites. Their own terms and privacy policies apply to your use of them, and we aren't responsible for their services or content.

14. Maintenance, changes and ending these Terms

We're always working on TDL, so features may change, and the App or its AI features may sometimes be unavailable because of updates, maintenance or problems outside our control. We may add or remove features, or change these Terms. If a change to these Terms is significant, we'll tell you in the App and ask you to agree again before it takes effect. The current Terms are always in the App (Settings, Terms of Use) and at tdlapp.pages.dev/terms.

You can stop using the App and delete it at any time. We may suspend or end your access if you break these Terms or if we stop offering the App. Sections 5, 7 (Your content), 11, 12 and 15 through 20 continue after these Terms end.

15. Disclaimers

THE APP, INCLUDING ITS AI FEATURES, REMINDERS AND TRAVEL TIMES, IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DATA WON'T BE LOST, OR THAT AI RESPONSES, TRAVEL TIMES OR ALERTS WILL BE ACCURATE OR ON TIME.

16. Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, MISSED APPOINTMENTS OR DEADLINES, OR OTHER LOSSES RESULTING FROM YOUR USE OF (OR INABILITY TO USE) THE APP, AI RESPONSES, REMINDERS OR TRAVEL TIMES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APP OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOR TDL PLUS IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

Some places don't allow these limits, so they may not all apply to you. Nothing in these Terms limits liability that can't legally be limited.

17. Resolving disputes

Talk to us first. Before filing a claim, email tdl.app.support@gmail.com with a description of the problem and what you're asking for. We'll try to resolve it informally within 60 days.

Arbitration. If we can't resolve it, you and we agree that any dispute about the App or these Terms will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Either of us may instead bring an individual claim in small claims court if it qualifies. The arbitrator may award the same individual relief a court could. We'll pay any filing, administration and arbitrator fees above what the AAA requires a consumer to pay, unless the arbitrator finds your claim frivolous.

No class actions or jury trials. YOU AND WE EACH GIVE UP THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.

Opting out. You can opt out of this arbitration agreement by emailing tdl.app.support@gmail.com within 30 days of first accepting these Terms, with your name and a statement that you opt out of arbitration. Opting out doesn't affect the rest of these Terms.

If part of this section can't be enforced. If the ban on class, collective or representative actions is found unenforceable for a particular claim or kind of relief (such as public injunctive relief), that claim or relief is separated out and decided by a court, after any arbitration of the rest; it doesn't cancel arbitration for everything else.

If arbitration doesn't apply (because you opted out, or a court decides it can't be enforced), disputes will be heard only in the state or federal courts located in Texas, and you and we agree to those courts' jurisdiction.

18. Governing law

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules.

19. Terms about Apple

You downloaded the App from Apple's App Store, so these terms also apply:
